■Position Summary
The Legal Counsel serves as a key legal advisor to the Japan business, providing practical, commercially focused legal support across a broad range of insurance, corporate, regulatory, commercial, and governance matters. The role will support the business throughout its growth cycle, including business expansion, regulatory engagement, and strategic initiatives.
As an individual contributor, the role is expected to independently manage complex legal matters and partner closely with business leaders, Compliance, Risk, Claims, Underwriting, Human Resources, Operations, and regional legal teams. The successful candidate will balance legal risk management with business objectives and contribute to the successful execution of strategic initiatives while ensuring compliance with applicable laws and corporate governance standards.
The role will also play a key part in supporting insurance business licensing and regulatory authorization initiatives, including engagement with the Financial Services Agency (FSA), preparation and review of regulatory submissions, governance framework development, and implementation of legal and regulatory requirements associated with establishing and operating an insurance business in Japan.
【Key Responsibilities】
■Legal Advisory
•Provide day-to-day legal support to business and functional stakeholders.
•Deliver practical and solution-oriented legal advice on insurance, regulatory, and commercial matters.
•Review and advise on legal implications of business initiatives, products, services, and operational processes.
•Support senior management in assessing legal and regulatory risks associated with strategic decisions.
•Interpret legal and regulatory requirements and translate them into practical business guidance.
■Commercial Contracts
•Draft, review, negotiate, and advise on a wide range of commercial agreements, including:
●Broker and agency agreements
●Vendor and outsourcing agreements
●IT and technology contracts
●Confidentiality agreements
●Service agreements
●Intra-group agreements
●Reinsurance-related documentation
•Ensure contractual arrangements appropriately protect the company’s legal and commercial interests.
•Manage contract-related disputes and negotiations with external counterparties.
Insurance Licensing and Regulatory Authorization
•Provide legal support for insurance business licensing, regulatory approvals, and other authorization processes in Japan.
•Support preparation, review, and submission of applications, policies, governance documents, and supporting materials required by the Financial Services Agency (FSA) and other regulators.
•Advise business stakeholders on legal and regulatory requirements applicable to the establishment and operation of an insurance company.
•Coordinate with external legal counsel, consultants, and regulatory advisors on licensing-related matters.
•Support regulatory meetings, inquiries, inspections, and ongoing supervisory interactions.
•Review governance, outsourcing, and operational frameworks for compliance with regulatory expectations.
•Conduct legal analysis regarding regulatory developments and emerging supervisory requirements affecting the business.
•Support implementation activities arising from licensing conditions, regulatory commitments, and approval requirements.
■Insurance and Regulatory Matters
•Advise on matters relating to:
●Insurance Business Act
●FSA regulations and supervisory guidelines
●Consumer protection requirements
●Competition and antitrust matters
●Corporate and commercial laws
•Advise on licensing requirements, regulatory approvals, and ongoing obligations applicable to insurance operations.
•Provide legal support for interactions with the Financial Services Agency and other regulatory authorities.
•Review and draft policies, procedures, and governance frameworks required under applicable insurance regulations.
•Support new product launches and business initiatives from a regulatory and legal perspective.
•Monitor legal and regulatory developments affecting the insurance industry.
•Conduct legal analysis and prepare recommendations regarding regulatory changes and business impacts.
•Support responses to regulatory inquiries, inspections, and examinations.
Corporate Governance
•Support corporate governance activities and legal entity management.
•Review and draft corporate resolutions, policies, and governance documentation.
•Ensure consistency with both local regulatory requirements and global

•Provide legal support for internal policies and control frameworks.
•Support the establishment and maintenance of governance frameworks required for regulated insurance entities.
•Advise Board members and senior management on governance obligations and regulatory expectations.
Disputes and Litigation
•Manage litigation, arbitration, regulatory investigations, and significant disputes.
•Coordinate with external legal counsel and oversee legal services.
•Provide legal support in relation to claims-related disputes and customer complaints.
•Evaluate litigation risks and recommend appropriate dispute resolution strategies.
■Cross-Border Legal Support
•Collaborate with regional and global legal teams on multinational initiatives.
•Support international projects, cross-border transactions, and global compliance initiatives.
•Participate in regional legal working groups and knowledge-sharing activities.
•Ensure implementation of global legal policies and standards in Japan.
Legal Risk Management
•Identify emerging legal risks and recommend mitigation measures.

•Minimum 7–10 years of relevant legal experience in:
